Ricardo Takahiro Oka is a Brazilian attorney with extensive experience in corporate law, corporate governance and legal advisory services for domestic and international business operations. Over several decades, he has developed a practice at the intersection of legal and business environments, with particular familiarity with foreign investment and transactions involving Japanese companies in Brazil.
He graduated from the Pontifical Catholic University of São Paulo (PUC-SP) and has been admitted to the Brazilian Bar since 1986. Throughout his career, he has built a solid track record both in private legal practice and in executive roles within the corporate sector. He also served as President and CEO of SMC do Brasil Automação Ltda., the Brazilian subsidiary of a Japanese multinational group. This experience provided him with a strategic perspective on corporate governance, business management and institutional relations in complex regulatory environments.
His professional practice focuses on corporate and business law, including mergers and acquisitions (M&A), corporate governance, shareholders’ meetings, joint ventures and corporate investigations. He also has significant experience in employment and labor matters from a corporate perspective, including labor due diligence in M&A and IPO transactions, labor arbitration and litigation, union relations and workforce restructuring.
Ricardo also advises companies on internal investigations, employee relations, drafting and reviewing corporate policies and employment agreements, as well as business expansion projects and real estate development matters.
He currently acts in Tokyo as a Foreign Lawyer at TMI Associates, where he participates in the coordination of matters involving Japanese companies with investments or business interests in Brazil. His simultaneous professional activity in Brazil and Japan provides him with a unique perspective on the legal, regulatory and cultural aspects of cross-border transactions between the two countries.
Fluent in Portuguese, English and Japanese, Ricardo frequently advises on cross-border transactions requiring coordination across different jurisdictions and business cultures.
